1. Who these terms are between
These terms are between you and [registered company name], registered in Rwanda under company number [registration number], of [registered address, Kigali] (“Fika Duka”, “we”, “us”).
By opening an account or using the platform, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business, and “you” means both you and it.
2. What Fika Duka is, and is not
Fika Duka connects shops with the distributors who supply them. We provide the platform an order runs on, move the payment, and keep the record.
The sale itself is between the shop and the distributor. We are not the seller. We do not own the goods, set their prices, or control their quality.
3. Accounts
- Accounts are for businesses and the people working in them. You must be 18 or over.
- The details you register — shop type, business registration, TIN, driving licence, national ID, vehicle details, company registration — must be accurate, and you must keep them current.
- Keep your login to yourself. You are responsible for everything done through your account. Tell us at once if you think someone else has access.
- Accounts and products may be checked before they can trade. We may refuse, pause or close an account where details cannot be confirmed.
- Each role sees only its own part of the platform. Do not try to reach data outside your role.
4. Placing an order
- Prices, pack sizes and stock levels shown come from the distributor.
- Stock is set aside when you place an order, so it cannot be sold twice.
- An order is an offer, not a completed sale. It becomes binding only when the distributor accepts it.
- A distributor may turn an order down — for stock, for your credit standing, or for any other reasonable business reason. Reserved stock is released and nothing is owed.
- A sales rep may place an order on a shop’s behalf. That order binds the shop as though the shop had placed it.
- Each order line records the product as it stood at the time, so a later change to the catalogue does not change what you agreed.
5. Prices, discounts and invoices
- Prices are in Rwandan francs.
- Bulk pricing may reduce the unit price once a quantity threshold is crossed. The price that applies is the one shown when the order is placed.
- Promotions run for set dates and apply automatically. Where more than one could apply, the most specific wins. We may end a promotion at any time; orders already placed are unaffected.
- An invoice is issued for every order and is available to download.
- Taxes apply as required by Rwandan law and are shown where they apply.
6. Delivery
- Delivery is arranged by the distributor and carried out by an assigned driver.
- Delivery windows are estimates, not guarantees. We are not liable for losses caused by a delivery arriving late.
- Check the goods on arrival. Raise a shortage, breakage or wrong item with the driver at the door, and with the distributor as soon as reasonably possible after.
- Risk in the goods passes to the shop on delivery. Ownership passes when the order is paid for in full.
- Where a delivery fails, it is kept and may be attempted again. A failed attempt does not by itself cancel the order.
- Someone must be at the shop to receive and pay for the order during the trading hours you registered.
7. Paying
You choose how to pay when the order arrives, not when you place it: from your phone, in cash to the driver, or on credit if a line is open to you.
- Mobile money. Payment settles when the provider confirms it. Confirmation is not always immediate, and an order is not settled until it arrives.
- Cash. Cash is handed to the driver, recorded against their daily total, and reconciled against proof of delivery before it counts as settled. Get a record from the driver.
- Credit. Covered in section 8.
Collections are paid out to the distributor. We are not a bank and do not hold your money on deposit.
8. Buying on credit
- Credit is not applied for. A line opens automatically when a shop meets every rule we set — currently a minimum trading history, a minimum number of orders each week across a run of consecutive weeks, and a minimum average order value.
- The thresholds are set by us and may be changed at any time. Where a shop falls short, the platform shows which rule is unmet and by how much.
- Credit is due within seven days of the stock reaching the shop, unless we agree otherwise in writing.
- You will be reminded before the due date and flagged after it.
- We may reduce, suspend or withdraw a credit line at any time, and may block credit ordering while a balance is overdue.
- Late payment may attract interest or a charge at [rate and basis], and we may recover the reasonable costs of collection.
- A credit decision is made by rule rather than by a person. If you think it is wrong, you can ask for a human review — see our privacy policy.
9. Distributors
If you sell on Fika Duka, you also agree that:
- You have the right to sell what you list, and it complies with Rwandan law on labelling, safety and expiry.
- Your listed stock levels and prices are accurate, and you honour a price once an order is accepted.
- Prices must stay within any floor and ceiling set on the platform.
- You are responsible for the drivers you assign and for delivering what was accepted.
- You handle shop data only for fulfilling orders, and in line with data protection law.
10. Using the platform properly
You must not:
- Register false details, or hold an account for someone else
- Place orders you do not intend to pay for
- Interfere with the platform, probe it, or try to get around the limits on your role
- Copy, scrape or resell data from the platform
- Use the platform for anything unlawful
11. Suspension and closing an account
We may suspend or close an account that breaks these terms, that has an overdue balance, or where we reasonably suspect fraud. Where we can, we will tell you why and give you a chance to put it right.
You can close your account at any time by writing to [support@example.rw]. Anything already owed stays owed, and records we must keep by law are kept.
12. Our intellectual property
The platform, the apps, the name and the branding are ours. You may use them only to use the service. Your catalogue, your data and your business records remain yours; you grant us the licence we need to run the service for you.
13. Availability
We work to keep the platform running but do not guarantee it will be uninterrupted or fault-free. Maintenance, network problems and provider outages happen. We may change or withdraw features, and where a change materially affects you we will give notice.
14. Liability
Because the sale is between shop and distributor, we are not responsible for the quality, safety, legality or fitness of the goods, nor for the conduct of a distributor, driver or rep.
Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
Otherwise, and so far as the law allows: we are not liable for lost profit, lost business, lost data or indirect loss; and our total liability to you for all claims in any twelve-month period is capped at [cap — e.g. the fees you paid us in the preceding three months].
15. Things outside our control
Neither of us is liable for failing to meet an obligation because of something beyond reasonable control — including power or network failure, provider outage, strike, civil unrest, or an act of government.
16. Sorting out a disagreement
A dispute about goods is between the shop and the distributor, and should be raised with them first. We will share the order record, the delivery record and the payment record to help settle it.
For anything else, write to [support@example.rw] and we will try to resolve it within [period] before either of us goes to court.
17. Changes to these terms
We may change these terms. Where a change materially affects you we will give notice in the app or by email before it takes effect. Continuing to use the platform after that means you accept the change. If you do not, you can close your account.
18. General
- If any part of these terms is unenforceable, the rest still stands.
- Not enforcing something once does not mean giving up the right to enforce it later.
- You may not transfer your rights under these terms without our agreement. We may transfer ours if the business is sold, and will tell you.
- These terms, with the privacy policy, are the whole agreement between us about the platform.
- Notices to you go to the email or phone number on your account. Notices to us go to the addresses in section 19.
19. Governing law, and reaching us
These terms are governed by the laws of Rwanda, and the courts of [Kigali / named court] have jurisdiction.
